Situation A company in the media industry derived 60% of its revenue from international markets, had grown successfully over three years and was out of the start-up phase. By necessity, the primary deal-maker was mostly absent from the creative base in Australia. He was also the majority shareholder and dissatisfied with the businesses growth profile.

Result Strategic meetings surfaced significant management and shareholder conflicts. The primary investor decided to sell business, leading to a second assignment, being preparation of an Information Memorandum and management of a successful trade sale process. After receiving an offer in the acceptable range, the owner decided not to sell, instead replacing the top level of management.
